Terms of Use

These Terms of Use govern your access to and use of Cromanion, operated by Patry ("we", "us"). By creating an account or installing the Cromanion tag, you agree to these terms. If you are agreeing on behalf of an organisation, you represent that you have authority to bind it.

1. The service

Cromanion is a conversion-optimization service. You install a tag on your website; our agent observes visitor behaviour, may show helpful on-page interventions, and measures impact against a permanent control group, writing results into your own analytics tools.

2. Accounts

You sign in with a one-time email link. You are responsible for keeping access to your email secure and for activity under your account. You must provide accurate information and be old enough to form a binding contract in your jurisdiction.

3. Plans, the free trial, and billing

We offer a free tier, paid subscriptions, and custom plans. The free tier includes a site audit and a one-time live trial (bounded by a number of days or sessions, whichever comes first); after the trial the service continues to measure but does not intervene until you upgrade. No credit card is required for the free tier.

Paid subscriptions are billed in advance on a recurring (monthly) basis through our payment provider, Stripe, and renew automatically until cancelled. You can cancel at any time from your account's billing portal; cancellation takes effect at the end of the current billing period. Fees are stated exclusive of taxes, which we add where required.

Except where required by law, payments are non-refundable. We may change prices or plan features on reasonable notice; changes take effect at your next renewal.

4. Acceptable use

You agree not to misuse the service: no unlawful, deceptive, or infringing content; no attempt to reverse-engineer, overload, or circumvent the service or its usage limits; and no use that would cause us to violate a third party's rights or any law.

5. Your responsibilities and warranties

You are responsible for lawful use of Cromanion on your website, including informing your visitors and obtaining any consent your jurisdiction requires (see our Privacy Policy).

Interventions surface facts drawn from your own website content or sources you connect; the agent does not invent facts. You are responsible for the accuracy of your content and offers, and you warrant that content Cromanion may surface on your behalf (prices, stock, reviews, policies) is truthful and that you have the right to display it.

6. Data processing

Our handling of personal information is described in our Privacy Policy. For your visitors' data, you are the controller and we are your processor, handling that data on your instructions to provide the service. You instruct and authorise us to de-identify and aggregate service data for the purposes described in section 7 (Usage data and service improvement).

7. Usage data and service improvement

We continuously improve Cromanion by learning from how it performs across the sites that use it. To that end, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use data generated through your use of the service — including session narratives, intervention outcomes, and derived signals — in de-identified and aggregated form, to operate, maintain, develop, evaluate, train, and improve the service and our machine-learning models, including models trained across multiple client sites.

De-identified data used under this section is stripped of visitor identifiers and, where feasible, of identifiers linking it to your website or account, and it never includes form values or lead-capture emails (which we never store — see our Privacy Policy). Nothing in this section grants us the right to disclose your identifiable data or your confidential business information to other clients.

All models, improvements, statistics, and insights derived from de-identified and aggregated data are owned by us. This section survives termination of these terms: because de-identified training data and model parameters cannot be traced back to you or your visitors, they are not deleted upon termination.

8. Intellectual property

We and our licensors own Cromanion, including the software, models, and content we provide, together with all models and improvements described in section 7. You own your website, your data, and your content. You grant us the limited rights needed to operate the service for you, together with the licence set out in section 7.

9. Disclaimers

The service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant any specific conversion, revenue, or performance outcome.

10. Limitation of liability

To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim relating to the service is limited to the amounts you paid us for the service in the twelve months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited by law.

11. Indemnity

You agree to indemnify us against claims arising from your use of the service in breach of these terms or of applicable law, including claims by your website visitors relating to content you display or consent you failed to obtain.

12. Suspension and termination

You may stop using the service and cancel at any time. We may suspend or terminate access if you breach these terms or if required to protect the service or comply with law. On termination, your right to use the service ends; sections that by their nature should survive (such as Usage data and service improvement, IP, disclaimers, and limitation of liability) survive.

13. Governing law

These terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The courts located in the Province of Québec, Canada have exclusive jurisdiction, subject to any mandatory consumer-protection rights you have where you live.

14. Changes to these terms

We may update these terms from time to time; we will update the "last updated" date and, for material changes, provide notice. Continued use after a change means you accept the updated terms.
